Terms of Service

Acceptance of these terms
These Terms of Service ("Terms") are a legal agreement between you and Pallet Solutions USA ("Pallet Solutions," "we," "us," or "our"). They govern your access to and use of the Pallet Solutions website, the Vendor Network, our published market intelligence, the paid Member membership, and any related services we provide (together, the "Service").
By accessing or using the Service, claiming or maintaining a listing, or subscribing to a paid membership, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you agree to these Terms for that business, and you represent that you are authorized to do so.
The Service is intended for business use. It is not directed to consumers or to children.
Eligibility and authority
You must be at least 18 years old and able to form a binding contract to use the Service. If you claim or manage a listing for a business, you represent that you are an owner of, or are authorized to act for, that business.
Definitions
"Vendor Network" means our directory of pallet vendors and the search, map, and contact features built around it.
"Listing" means the record for a vendor location (a yard) on the Vendor Network. A "Listed" record is added from public sources and is unclaimed. A "Claimed" listing is a free listing controlled by its owner. A Member listing is a paid membership listing.
"PSCI™" or "Pallet Solutions Cost Index™" means our published cost-input reference index. "Tuesday Read" means our free weekly market email. "Tuesday Report" means the paid weekly vendor brief included with a Member membership. "Market Pulse" means our regional cost read and forecast surface. "Forecasts" means any forward-looking projection we publish.
"Content" means any text, data, figures, indices, forecasts, listings, and other material made available through the Service. "Your Content" means the information you submit to or maintain on your Listing.
Accounts and security
You are responsible for the information you provide and for activity that occurs under your access. Keep your login credentials and contact information accurate and current, and let us know promptly if you believe your access has been used without your authorization.
Listings and listing data
Free Claimed listings stay free. You control the information on your own Listing and can update or remove it by using the Service or contacting us. We may correct, suspend, or remove a Listing that misrepresents a business, appears inaccurate or unlawful, or violates these Terms.
Some Listings begin as Listed records compiled from public business records and other public sources. We do not independently verify all such information, we do not endorse any vendor, and we make no representation that any Listing is accurate, complete, or current. You use Listing information at your own risk and are responsible for your own due diligence.
Membership billing and the founding rate
The Member tier is a paid monthly membership on the Pallet Solutions Vendor Network. If you join at a founding rate, that rate is locked for the first 12 months of your membership, measured from your checkout date - not from any launch date. After the lock period, any change to your rate comes with at least 60 days' advance notice before it takes effect.
The founding rate is offered to memberships started on or before November 30, 2026. Joining after that date is at the standard rate in effect at checkout. The offer window applies to when you join - a founding membership started within the window keeps its 12-month lock in full.
Membership bills monthly through our payment processor, Stripe. The price, the billing frequency, and the renewing nature of the membership are shown to you at checkout before you pay. Each location (yard) is its own membership, billed on its own.
Automatic renewal and cancellation
Your membership renews automatically at the end of each monthly billing period, and your payment method is charged for the next period, until you cancel. We disclose the price and the automatic monthly renewal at checkout before you subscribe.
You can cancel at any time through your account or your Stripe billing portal, or by emailing us at info@palletsolutionsusa.com. Cancellation takes effect at the end of the current billing period - you keep access through the period you have paid for, and your Listing then returns to its free Claimed state. Cancelling stops future renewals.
Refunds
Except where required by law, membership fees are non-refundable, and we do not provide refunds or credits for partial billing periods. Cancelling stops future charges but does not refund the current period.
Managed programs
Managed pallet-sourcing programs are sold separately and are quoted per engagement. They are governed by a separate written agreement between you and Pallet Solutions, not by these Terms. If there is any conflict between that agreement and these Terms with respect to a managed program, the separate agreement controls. These Terms continue to govern your use of the website, the Vendor Network, our published intelligence, and any Member membership.
Changes to the service and these terms
We may change the Service, its features, or these Terms. For a change that materially affects a paid Member, we give at least 60 days' notice before it takes effect. You may cancel before the change takes effect if you do not agree to it; continuing to use the Service after that date means you accept the change. Rate changes follow the 60-day notice described under Membership billing above.
The intelligence is information, not advice
PSCI™, the Tuesday Read, the Tuesday Report, our Forecasts, Market Pulse, and corridor events are market information published for your own evaluation. They are NOT financial, investment, legal, procurement, or business advice, and they do not create any advisory, fiduciary, or professional relationship.
Our Content is built in part from public and federal data sources and, in the case of Forecasts, from statistical and AI models. It carries inherent uncertainty, may contain errors or omissions, and may become outdated. We do not guarantee any result, figure, forecast, saving, or outcome.
You are responsible for independently verifying any information before relying on it, and for any decision you make. To the maximum extent permitted by law, you assume all risk of reliance on the Content, and you waive claims against us based on your reliance on it.
Your content, our content, and data rights
You retain ownership of Your Content. You grant Pallet Solutions a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, distribute, adapt, and create derivative works from Your Content in order to operate, provide, promote, and improve the Service and related surfaces. This license lasts while your Listing is active; after that, we may retain and continue to use archival and aggregated or de-identified copies as described below.
Aggregated and de-identified data. We may collect, generate, combine, aggregate, anonymize, de-identify, and analyze data relating to the Service - including usage data, Listing data, search and contact activity, and market and transaction data - and we may use, retain, publish, license, and otherwise commercialize that aggregated or de-identified data for any lawful purpose. This includes operating and improving the Service and developing, validating, and publishing PSCI™, our other indices, Forecasts, methodology, benchmarks, reports, and current or future data products. Aggregated and de-identified data does not identify you, and we own all such data and all derivatives of it.
Feedback. If you send us ideas, suggestions, or feedback, we may use them for any purpose without obligation or compensation to you, and you grant us a perpetual, irrevocable, royalty-free license to do so.
Our intellectual property. We own the Service, including PSCI™ and its methodology, our indices and Forecasts, the website, software, design, and databases, and the Pallet Solutions names, logos, and marks. Except for the limited rights to use the Service stated in these Terms, nothing here transfers any of our intellectual property to you. PSCI™ and Pallet Solutions Cost Index™ are trademarks of Pallet Solutions USA.
Acceptable use
Use the Service lawfully and in good faith. You agree not to: scrape, crawl, bulk-download, or use automated means to access or collect the Service or its data without our prior written consent; use the Content to build, train, or improve a competing index, dataset, model, or product; copy, resell, or redistribute the Content except as expressly permitted; reverse engineer or attempt to derive source code; interfere with, overload, or disrupt the Service or its security; misrepresent your identity or affiliation; or post or maintain Listing information that is false, misleading, infringing, defamatory, or unlawful.
You agree to keep the information on your Listing accurate and current. We may investigate suspected violations and may suspend or terminate access for conduct that violates these Terms or harms the Service or others.
Intellectual property and infringement notices
If you believe Content on the Service infringes your intellectual property rights, contact us at info@palletsolutionsusa.com with enough detail to identify the material, your rights, and your contact information, and we will review and respond as appropriate. We may remove material and may terminate access for repeat infringers.
Reporting inaccurate or improper listings
If you believe a Listing contains inaccurate, misleading, defamatory, or otherwise improper information, contact us at info@palletsolutionsusa.com with the Listing name and location and a description of the issue. We review reports in good faith and may correct, suspend, or remove a Listing, but we are not obligated to do so and we are not responsible for content provided by others.
Third-party services
The Service relies on third-party providers, including Stripe for payment processing, and includes data from third-party and public sources and links to third-party sites. Your payments are also subject to Stripe's terms. We are not responsible for third-party services, their content, or their availability, and your use of them is at your own risk.
Suspension and termination
We may suspend or terminate your access to all or part of the Service, with or without notice, if you breach these Terms, fail to pay, use the Service unlawfully or in a way that harms the Service or others, or where we reasonably need to in order to protect the Service. We may also discontinue features.
On termination, your right to use the Service ends, a paid Listing may be downgraded or removed, and fees already paid are not refunded except where required by law. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.
Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service, or any figure, index, forecast, or Listing on it, is accurate, complete, current, error-free, secure, or uninterrupted. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALLET SOLUTIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS CAPPED AT THE AMOUNT YOU PAID TO PALLET SOLUTIONS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud, gross negligence, or willful misconduct. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You will defend, indemnify, and hold harmless Pallet Solutions and its owners, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to Your Content, your use of the Service, your violation of these Terms, or your violation of any law or any third-party right.
Your representations
You represent and warrant that the information you provide is accurate and not misleading, that you have the rights necessary to provide Your Content and to grant the licenses in these Terms, and that Your Content does not infringe, defame, or violate the rights of any third party or any law.
Dispute resolution, arbitration, and class-action waiver
PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT AND TO PARTICIPATE IN A CLASS ACTION.
Except for the exceptions below, you and Pallet Solutions agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association under its applicable rules, before a single arbitrator. The arbitration will take place in Delaware or, at either party's election, by remote means. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. To the maximum extent permitted by law, you and Pallet Solutions agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any class or representative proceeding.
Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or to enforce payment obligations.
Draft note: the arbitration provider, rules, seat, and the enforceability of this section and the class-action waiver are to be confirmed with counsel before these Terms are finalized.
Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the Federal Arbitration Act governs the arbitration section. Subject to the arbitration section, the state and federal courts located in Delaware will have exclusive jurisdiction over any Dispute not subject to arbitration.

Force majeure
We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, outages, failures of third-party services or networks, labor disruptions, or government actions.
Assignment
We may assign these Terms or our rights and obligations under them, including in connection with a merger, acquisition, financing, or sale of assets. You may not assign these Terms without our prior written consent. These Terms bind permitted successors and assigns.
Notices
We may provide notices to you by email to the address associated with your Listing or membership, or by posting on the Service; such notices are considered received when sent or posted. Keep your contact information current. You must send notices to us at info@palletsolutionsusa.com.
Severability
If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the rest of these Terms will remain in full force and effect.
Entire agreement
These Terms, together with our Privacy Policy, are the entire agreement between you and Pallet Solutions regarding the Service, and they supersede any prior or contemporaneous understandings. The Managed programs section above governs how these Terms interact with any separate managed-program agreement.
No waiver
Our failure to enforce any provision is not a waiver of our right to do so later. Any waiver must be in writing to be effective.
Privacy
Our Privacy Policy explains how we handle information and is incorporated into these Terms by reference. By using the Service, you also agree to the Privacy Policy.
Survival
The sections on data rights, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and any other provisions that by their nature should survive, will survive termination of these Terms.
